3 2. Definitioner Licensbetingelser 2.1. Adgangskoder Herved forstås koder, der giver adgang til programmet og giver licenstager adgang til brug af programmet Antal brugere Herved forstås det antal brugere, for hvilke der gives adgang til programmet, og som licenstager har erhvervet brugsret til mysupply Herved forstås mysupply ApS, Peter Løthsvej 2, 9440 Aabybro, CVR nr , der ejer rettighederne til programmer som anført i disse licensbetingelser Datalager Herved forstås enhver form for elektronisk enhed, hvorpå edb-programmer og data kan lagres Dokumentation Herved forstås ethvert elektronisk og skriftligt materiale og/eller hjælpemiddel og specifikationer, der er udleveret af mysupply til programmet, og som licenstager til enhver tid har erhvervet brugsret til samt enhver beskrivelse udviklet af mysupply i relation til programmet Hot Fixes, Service Packs og nye versioner Herved forstås alle korrektioner og forbedringer af programmet i henhold til mysupply s opdateringsabonnement Licensbetingelser Herved forstås nærværende licensbetingelser udstedt af mysupply Program Herved forstås de dele af den nyeste elektroniske version af mysupply s VAX NemHandel, herunder Hot Fixes, Service Packs og nye versioner og alle tredjemands softwareprogrammer, der helt eller delvist er blevet integreret til mysupply som en del af programmet, og som licenstager til enhver tid har erhvervet brugsret til samt dertil hørende dokumentation og specifikationer Definitionernes anvendelse De ovenfor anførte definitioner er gældende i det følgende uanset i hvilken grammatisk form, de definerede termer forekommer. Licensens omfang Licensbetingelser 3.1. mysupply giver hermed licenstager ret til at anvende programmet på ét datalager ad gangen i den periode, hvortil der er erhvervet brugsret til programmet Licensen omfatter alene licenstagers egen anvendelse af programmet til licenstagers administrative databehandling. Licenstager har ingen ret til at give tredjemand adgang til licenstagers eller en sådan tredjemands egne data ved hjælp af licenstagers program. 4. Kopiering 4.1. Licenstager er berettiget til at tage kopier af programmet alene til arkiv eller backup formål Licenstager er herudover berettiget til at tage en (1) kopi af programmet alene til udviklings- og testformål Anvendelsen af disse kopier (jf. pkt. 4.1 og 4.2) er underlagt licensbetingelsernes bestemmelser og vilkår Udover denne ret (jf. pkt. 4.1 og 4.2) er licenstager ikke berettiget til at fremstille yderligere kopier af programmet, medmindre andet følger af præceptive lovregler. 5. Piratkopiering 5.1. Programmet er ophavsretlig beskyttet, og brugen af programmet er styret af licensnøgle udstedt af mysupply Programmet har indbygget programkode, der giver mulighed for sporing af brugen af programmet Såfremt programmet misbruges, kan det medføre blokering for den fortsatte brug af programmet og vil i alle tilfælde medføre krav om betaling for brugen samt erstatning for påløbne omkostninger og gener. 6. Tilladt brug og ændringer 6.1. Licenstager er berettiget til at anvende og ændre programmet i det omfang, at dette er nødvendigt for den i disse licensbetingelser aftalte brug af programmet. Ændringer må kun ske ved anvendelse af udviklingsværktøjerne i programmet Licenstager har ikke ret til at oversætte programmet fra objektkode til kildekode, f.eks. ved at foretage reverse engineering, disassemblering eller dekompilation af programmet, medmindre dette måtte være påkrævet i henhold til ufravigelige lovregler. I tilfælde af at licenstager vil benytte sig af adgangen hertil, underretter licenstager mysupply herom med mindst 10 dages skriftlig varsel. Produkt: VAX NemHandel Status: Godkendt Side: 4 af 45

5 7. Nye funktioner Licensbetingelser 7.1. Licenstager må kun føje nye funktioner til programmet ved anvendelse af programmets egne værktøjer. Dette gælder også inkorporering af eksterne funktioner, der understøttes af programmet. 8. Immaterielle rettigheder/ophavsret 8.1. mysupply har den fuldstændige ophavsret, adkomst og alle andre rettigheder til programmet bortset fra delprodukter, der er fremstillet af tredjemand, og som denne har alle fuldstændige rettigheder til. Programmet er beskyttet af ophavsretlige love og internationale traktatsbestemmelser. Enhver tilsidesættelse af mysupply s og/eller en hvilken som helst af en sådan tredjemandsleverandørs rettigheder, herunder lemfældig omgang med programmet, som muliggør kopiering af programmet for tredjemand, anses for misligholdelse af disse licensbetingelser Licenstager er ikke berettiget til at bryde eller ændre eventuelle adgangskoder. Licenstager er heller ikke berettiget til at ændre eller fjerne angivelser i programmet eller på de medier, hvorpå programmet leveres om rettighedsforhold, varemærker og lignende. 9. Krænkelse af tredjemands ret 9.1. mysupply erklærer og garanterer for, at programmet ikke mysupply bekendt på nogen måde krænker tredjemands immaterielle rettigheder. Såfremt tredjemand med henvisning hertil alligevel gør indsigelse mod licenstagers brug af programmet, er licenstager forpligtet til straks at give mysupply underretning herom. Ved en sådan underretning kan mysupply vælge herefter at overtage sagen og de med sagen forbundne omkostninger, og mysupply har under alle omstændigheder ret til for egen regning at overtage sagen og følgelig gennemføre en retssag eller indgå forlig vedrørende de påståede krænkelser Såfremt tredjemand gør indsigelser mod licenstagers anvendelse af programmet, er mysupply berettiget til enten At skaffe licenstager ret til fortsat at benytte programmet, eller At bringe krænkelsen til ophør ved at ændre programmet eller erstatte programmet med andet software, der i det væsentlige har samme funktoner som det berørte program, eller Ophæve disse licensbetingelser mod skriftlig varsel og betale et beløb til licenstager, der svarer til den nedskrevne værdi af programmet beregnet på basis af et beløb, der svarer til den af licenstager betalte licensafgift for programmet som en lineær afskrivning med afskrivningsperiode på fem (5) år. 6 Ved licensbetingelsernes ophør, skal licenstager aflevere programmet og al dokumentation til mysupply eller som det ellers bliver anvist af mysupply og tilintetgøre eventuelle backup og/eller arkivkopier. Herefter kan licenstager ikke rejse yderligere krav mod mysupply i denne forbindelse mysupply er bekendt med, at de i bilag 1 nævnte tredjemandsprogrammer indgår enten i samspil med mysupply s program eller som en integreret del af programmet. Licenstager er forpligtet til at anvende programmet i overensstemmelse med de licensbestemmelser, der gælder for det pågældende tredjemandsprogram. For anvendelse af sådanne tredjemandsprogrammer kan der ikke gøres nogen form for indsigelse gældende eller rejses krav mod mysupply. 10. Licenstagers valg af program Programmet er et standardprodukt, og licenstager er selv ansvarlig for, at programmet opfylder dennes behov. 11. Afhjælpning af fejl Licenstager er forpligtet til at gennemgå og afprøve programmet umiddelbart efter modtagelsen af dette. Op til tre måneder efter levering af programmet er mysupply forpligtet til at levere en ny kopi af programmet, såfremt et medium, hvorpå programmet er leveret, ikke er læsbart Såfremt licenstager skriftligt dokumenterer, at der foreligger en væsentlig fejl i programmet, der i mysupply s interne fejlretningsprocedure kan karakteriseres som en fatal fejl, dvs. en fejl, der er karakteriseret ved, at en eller flere af licenstagers centrale forretningsfunktioner ikke kan bringes til at virke på grund af, at den pågældende fejl gør driften af programmet uigennemførlig, er mysupply i op til seks måneder efter levering af programmet forpligtet til efter eget valg enten Vederlagsfrit at levere en ny version af programmet uden den væsentlige fejl, eller Ophæve disse licensbetingelser og tilbagebetale den af licenstager betalte licensafgift for programmet mod tilbagelevering til mysupply af samtlige licenstagers versioner og kopier af programmet. For at være berettiget hertil skal licenstager have erhvervet de sidste Hot Fixes, Service Packs og nye versioner, der er udstedt af mysupply. Licenstager er således uberettiget til at gøre yderligere krav gældende mod mysupply i denne forbindelse. Mod fejlrettelse sidestilles anvisning af forretningsgange eller anvendelsesmåder (Work arounds), hvorefter fejlen ikke har væsentlig indvirkning på licenstagers anvendelse af programmet mysupply bestræber sig på bedst muligt inden for rimelige forretningsmuligheder at rette alle andre fejl, herunder fejl i dokumentation i fremtidige Hot Fixes, Service Packs og nye versioner. Disse korrektioner kan købes som et vedligeholdelsesabonnement. Produkt: VAX NemHandel Status: Godkendt Side: 6 af 45

7 11.4. Programmet gives i licens, således som det er og forefindes og uden nogen form for garanti, erklæringer afhjælpningsforpligtelser eller misligholdelsesbeføjelser for licenstager udover de ovenstående. Licenstager kan således ikke rette nogen form for krav mod mysupply, hvis programmet indeholder fejl eller uhensigtsmæssigheder, der ikke er omfattet af pkt og mysupply ikke retter disse, eller hvis drift og afvikling af programmet ikke er uden afbrydelser eller fejlfri. 12. Ansvarsbegrænsning mysupply er i intet tilfælde uanset omstændighederne ansvarlig for tab af forventet fortjeneste, tab af data, beskadigelse af registreringer eller data eller nogen anden form for indirekte konkret dokumenteret, hændeligt tab eller følgetab som til brug for disse licensbetingelser anses for at omfatte, men ikke begrænset til, tab af goodwill, eller tab som følge af enhver anden form for forretningsmæssig afbrydelse i forbindelse med anvendelsen af programmet eller nogen form for utilstrækkelig eller mangelfuld programfunktion eller serviceydelse forbundet hermed, uanset om mysupply har været underrettet om muligheden for sådanne tab og uanset om skaden forvoldes i eller uden for kontrakt. Licenstager kan således ikke kræve erstatning hos mysupply for nogen af de ovenfor nævnte tab, og mysupply holder ikke licenstager skadesløs for sådanne krav. Ovennævnte ansvarsfraskrivelse gælder også skærpet produktansvar, som mysupply måtte pådrage sig i henhold til dansk retspraksis som en følge af tab af eller beskadigelse på ejendom, der efter sin natur normalt er beregnet på kommerciel anvendelse, i den udstrækning, at et sådant ansvar kan fraskrives kontraktmæssigt mysupply s samlede ansvar for tab eller skade er i alle tilfælde uanset omstændighederne beløbsmæssigt begrænset til den af licenstager betalte licensafgift for programmet mysupply er uden ansvar for fejl og mangler, der ikke relaterer sig til programmet, men derimod til påvirkninger udefra, herunder andre programmer. mysupply er endvidere uden ansvar for integration eller samspillet mellem programmet og licenstager egne edb-omgivelser og organisation Såfremt licenstager foretager eller lader ændringer foretage i programmet, bærer licenstager selv det fulde ansvar for ændringerne samt følgevirkningerne heraf i programmet, hvilket indebærer, at licenstager ikke kan gøre ansvar gældende over for mysupply uanset omstændighederne, hvis ansvaret relaterer sig til sådanne ændringer i programmet I forbindelse med implementering af Hot Fixes, Service Packs og nye versioner giver mysupply ingen garanti for, at licenstager vil være i stand til at gøre fuld brug af eventuelle ændringer, som licenstager har foretaget eller ladet foretage i anvendelseslogikken i programmet eller dele af denne. mysupply garanterer ikke for, at der er retrospektiv kompatibilitet mellem Hot Fixes, Service Packs og nye versioner eller disses funktionalitet eller mellem sproglig og landespecifik funktionalitet. Ansvarsfraskrivelse Licensbetingelser Ansvarsbegrænsningerne anført i disse licensbetingelser, herunder krænkelse af tredjemandsrettigheder og rettelse af fejl, har virkning i størst mulig udstrækning, som det er tilladt efter gældende lov. I nogle stater/jurisdiktioner tillader ufravigelige lovregler ikke denne ansvarsfraskrivelse eller ansvarsbegrænsning, hvilket kan medføre, at de heri nævnte begrænsninger muligvis ikke gælder for licenstager, hverken helt eller delvis. 14. Force majeure Ingen af parterne er ansvarlig for skade, som påføres den anden part som en direkte eller indirekte følge af, at den første part forsinkes eller forhindres i at opfylde sine forpligtelser i henholdt til disse licensbetingelser på grund af opstået force majeure-begivenhed. Som force majeure anses bl.a. krig og mobilisering, naturkatastrofer, strejker, lockout, ildebrand, import- og eksportreguleringer og andre forhold, som den berørte part ikke er herre over. 15. Overdragelse Licenstager er ikke berettiget til at sælge/udleje/udlåne eller på anden måde overdrage eller overføre retten til brug af programmet til tredjemand uden mysupply s forudgående skriftlige samtykke. Dette samtykke må ikke tilbageholdes urimeligt. mysupply forbeholder sig ret til at overdrage sine rettigheder og forpligtelser i henhold til disse licensbetingelser helt eller delvist til et andet selskab eller til tredjemand Såfremt mysupply s samtykke i henhold til pkt indhentes, er licenstager i forhold til mysupply forpligtet til at sørge for, at den anden part underskriver nye licensbetingelser med mysupply, hvorved alle licenstagers rettigheder og forpligtelser i henhold til nærværende licensbetingelser overdrages til den anden part. Licenstager vil blive afkrævet en afgift af mysupply for overførslen af licensen i henhold til disse licensbetingelser I forbindelse med en overdragelse i henhold til pkt skal licenstager overdrage originalprogrammet og alt tilhørende materiale til den anden part og har forbud mod at beholde nogen kopi af programmet. Et program, der er givet i licens i flere kopier, kan kun overdrages i sin helhed. Hvis programmet er en opdatering, skal overdragelsen omfatte alle tidligere versioner af programmet Når der er sket overdragelse i henhold til pkt og 15.3 ophører licenstagers licens til programmet i henhold til disse licensbetingelser. Ophør Licensbetingelser Licenstager Undlader licenstager at forny licensaftalen efter den periode, hvortil der er erhvervet brugsret til programmet, anses licensaftalen som opsagt fra licenstagers side. Licenstager er ikke ved et sådant ophør berettiget til at kræve nogen del af den betalte licensafgift tilbagebetalt. Licenstager skal umiddelbart efter licensaftalens ophør levere programmet tilbage til mysupply, eller som det ellers bliver anvist af mysupply eller tilintetgøre alle versioner og kopier af programmet bortset fra en arkivkopi af programmet, såfremt dette kræves i henhold til ufravigelig lovregler mysupply Bortset fra retten til at opsige licensbetingelserne, der udtrykkeligt er anført i andre bestemmelser i disse licensbetingelser, har mysupply kun ret til at opsige licensbetingelserne uden varsel på grund af væsentlig misligholdelse af licensbetingelserne fra licenstagers side. I så tilfælde bortfalder alle licenstagers rettigheder i henhold til disse licensbetingelser, herunder brugsretten. Licenstager er da, uden adgang til at kræve tilbagebetaling af nogen del af den betalte licensafgift, forpligtet til at tilbagelevere programmet samt al dokumentation til mysupply og til at tilintetgøre eventuelle backup og/eller arkivkopier heraf. Herudover kan mysupply kræve erstatning for ethvert tab, som mysupply måtte lide i den anledning. 17. Gyldighed og udskillelse Såfremt en bestemmelse i disse licensbetingelser erklæres lovstridig eller ugyldig eller uden retskrav, skal dette ikke beskære aftalen i øvrigt, og den pågældende bestemmelse skal ændres eller omformuleres i det videst muligt omfang efter gældende lov, således at mysupply s oprindelige hensigt afspejles. 18. Fortsat gyldighed Enhver bestemmelse i disse licensbetingelser som efter sin natur strækker sig ud over det tidspunkt, hvor licensbetingelserne ophører, skal fortsat være gældende og bindende for parterne. 19. Afkald Enhver accept af eller afkald på enhver bestemmelse eller misligholdelse skal ikke betragtes som accept af eller afkald på sådan bestemmelse eller misligholdelse i fremtiden. Ingen undladelse eller forsinkelse fra mysupply s side ved udnyttelsen af nogen ret, beføjelse eller retsmiddel skal betragtes som afkald på sådanne rettigheder. Lovvalg og værneting Licensbetingelser Disse licensbetingelser er undergivet dansk ret og skal fortolkes efter samme Eventuelle tvister mellem parterne skal afgøres af Sø- og Handelsretten i København. 21. Accept Licenstager accepterer herved, at alle kunderelaterede oplysninger som mysupply modtager på grundlag af kontraktforholdet i henhold til disse licensbetingelser dvs. vedrørende programmet herunder serienummer, licenstagers navn, adresse, tlf. nr., fax. nr., -adresse, URL, kontraktnavn og navnet på licenstagers forhandler/parter frit kan anvendes af mysupply i ethvert forretningsmæssigt øjemed. 22. Forrang De licensbetingelser, som licenstager har accepteret i forbindelse med installation af programmet er den juridiske køb af programmet, og er den juridisk bindende version. 23. Ikrafttræden Disse licensbetingelser træder i kraft, når licenstager installerer programmet Produkt: VAX NemHandel Status: Godkendt Side: 10 af 45

14 The License Agreement consists of three parts. The first part describes rights and duties of the User of evaluation version of the Program. The second part describes how the User can purchase full version of the Program. The third part describes rights and duties of the User of the full version of then Program. FIRST PART: RIGHTS AND DUTIES OF THE USER OF THE EVALUATION VERSION. The Producer permits the User to use the Program on unlimited number of computers. The User is also allowed to make backup copies of the Program. The User is not allowed to sell, let, rent nor lease these copies to third parties. The User may give the copies gratuitously if they ensure that the receiving party accepts the terms and conditions of this Agreement. The User IS NOT ALLOWED: - to decompile the Program or to modify it, - to copy the printed materials provided together with the Program, - to create any software similar to or based on the Program, - to remove or change any trademarks or information about the Producer included in the Program and in the materials provided together with it. (c) The Licensee acknowledges that software in general is not error-free and agrees that the existence of bugs in the Software shall not constitute a breach of this License. 7. Licensor's Liability (a) The Licensor shall not be liable to the Licensee for any loss or damage whatsoever or howsoever caused arising directly or indirectly in connection with this License, the Software, its use or otherwise, except to the extent that such liability may not be lawfully excluded under the applicable law. Licensed Products means your software applications or tools products that include a Licensed UI and are not Excluded Products. Licensed Products must be registered with Microsoft at d. Microsoft IP means the intellectual property rights of Microsoft and its subsidiaries that without this license you would necessarily infringe by copying the Design Guidelines or making, using or distributing your Licensed UI. These rights include pending utility and design patent claims, copyrights, trade dress and trademark rights. e.
