Application of Star Air A/S Docket OST for an exemption pursuant to 49 U.S.C and for a foreign air carrier permit pursuant to 49 U.S.C (U.S.-Denmark) APPLICATION OF STAR AIR A/S FOR AN EXEMPTION AND FOREIGN AIR CARRIER PERMIT Pursuant to 49 U.S.C and 41301, Subparts B and C of the Department's Rules of Practice, Part 211 of the Department's Economic Regulations, and the Department's streamlined licensing procedures, 1 Star Air A/S ("Star Air") hereby applies for an exemption and a Foreign Air Carrier Permit that would enable it to provide charter foreign air transportation of property and mail on any and all routes authorized pursuant to the Agreement between the Government of the United States of America and the Government of Denmark Relating to Air Transport Services ("U.S.-Denmark Open Skies Agreement"). 2 In support of this application, Star Air states as follows: 1. Star Air is seeking an exemption and Foreign Air Carrier Permit that would enable it to provide charter foreign air transportation of property and mail: a. Between any point or points in the territory of Denmark and any point of points in the U.S.; and 1 Notice, Docket OST (Aug. 23, 2005). 2 Agreement between the Government of the United States of America and the Government of Denmark Relating to Air Transport Services, as amended (June 16, 1995).

3 STAR AIR A/S APPLICATION FOR AN EXEMPTION AND A FOREIGN AIR CARRIER PERMIT b. Between any point or points in the territory of the U.S. and any point or points in a third country or countries; provided that such service constitutes part of a continuous operation, with or without change of aircraft, that includes service to Denmark for the purpose of carrying local traffic between Denmark and the U.S Star Air's request is consistent with Annex II, Section 1 of the U.S.- Denmark Open Skies Agreement. Article 2 of the Agreement provides that both parties may designate an unlimited number of airlines under the Agreement. 3. As the information that follows will demonstrate, Star Air is fully qualified to hold a foreign air carrier permit. Star Air is owned and controlled by Danish citizens and has a capable and experienced management team. In addition, the company has the financial resources and technical expertise necessary to operate its service safely and efficiently. 4. The applicant's name is Star Air A/S and its address is Copenhagen Airport South, DK-2791 Dragoer, Denmark. Star Air is a private limited company ("aktieselskab," abbreviated "A/S") registered in the Danish Commerce and Companies Agency (CVR No ) as well as in the Danish Central Business Register. Star Air is a wholly-owned subsidiary of A/S Maersk Aviation Holding (also a Danish company), which in turn is a wholly-owned subsidiary of A.P. M0ller - Maersk A/S (also a Danish company). Exhibit A contains a summary ("Compiled Summary") of the 3 Under Annex II of the U.S.-Denmark Open Skies Agreement, designated airlines of each party also have the right: (1) to make stopovers at any points whether within or outside of the territory of either party; (2) to carry transit traffic through the other party's territory; and (3) to combine on the same aircraft traffic originating in one party's territory, traffic originating in the other party's territory, and traffic originating in third countries. Further details concerning Star Air's shareholding are available in paragraph Star Air is regulated in Denmark by the Staten Luftfartsvaasen (Civil Aviation Administration - Denmark), with its official address at Luftfartshuset, Box 744, Ellebjergvej 50, DK-2450 Copenhagen SV, Denmark. 6. Star Air has a six-member Board of Directors that oversees corporate management and strategy. The Board Members are: a. Bent Erik Carlsen, Executive Vice President; b. Flemming Edvard Ipsen, Executive Vice President; c. General Jorgen Lyng; d. Nils Wilhjelm; e. Aksel Lutzen; and f. Jens Christian Holgaard Borre. The Compiled Summary and Addendum at Exhibit A contains the Board Members' addresses. All Directors are Danish citizens. 7. Exhibit B contains the names, addresses, and citizenship of Star Air's skilled management team, which is comprised of individuals who are exceptionally wellqualified to perform their duties. None are related by blood or marriage. 8. All of the shares of Star Air are owned by the Danish company A/S Maersk Aviation Holding, which is wholly owned by the Danish company A.P. M0ller - Masrsk A/S. A.P. M0ller - Maersk A/S is publicly traded on the Copenhagen Stock Exchange and has approximately 53,000 registered shareholders. The largest shareholders, listed below, are all Danish companies or funds.

Neither the applicant nor any officer, director, manager, or holder of five percent or more of the capital stock holds any interest in any U.S. carrier; any other foreign air carrier; any persons engaged in the business of aeronautics; or any common carrier, or any person whose principal business is the holding of stock in, or control of, any air carrier Star Air's insurance coverage meets or exceeds the liability limits of 14 C.F.R. Part 205. Exhibit C contains a copy of Star Air's Certificate of Insurance, which identifies the name of its insurance carriers. 11. Star Air holds an Air Operator Certificate ("AOC") issued by the Civil Aviation Administration-Denmark. Exhibit D contains a copy of Star Air's AOC and its operations specifications. Star Air also holds a European Union Operating License, also issued by the Civil Aviation Administration-Denmark. Exhibit E contains a copy of Star Air's Operating License. 12. Star Air operates 11 Boeing SF ("special freighter") series aircraft configured for cargo transport. Exhibit F contains a list of these aircraft. 4 The applicant's ultimate shareholder, A.P. M0ller-Meersk A/S, holds a 50% shareholding in the Dutch air carrier Martinair Holland N.V. as a result of its acquisition of the British/Dutch container shipping company Royal P&O Nedlloyd N.V. 4

Star Air performs normal line maintenance on these aircraft in conformity with applicable ICAO standards using its own mechanics, of which there are 36 on Star Air's staff. All mechanics hold Aircraft and Powerplant Licenses for the Boeing SF series aircraft. Star Air's maintenance program complies with the provisions of ICAO Pilots and Airmen Annexes 1, 6 (Part 1), and 7. The Kingdom of Denmark is a contracting State to the Convention on International Civil Aviation. 14. Star Air does not hold any interest in any U.S. carrier or in any other foreign carrier. Further, Star Air is not a party to any agreements or cooperative working arrangements with any U.S. or foreign air carrier that would affect the proposed services to the United States. 15. Star Air is financially strong and meets or exceeds the Department's financial fitness requirements. Copies of its financial statements for 2004 and 2005 are attached in Exhibit G. Star Air requests confidential treatment of this information pursuant to Rule 12 of DOT'S Rules of Practice. 16. Star Air has not received, and does not expect to receive, any financial assistance from the Government of the Kingdom of Denmark. 17. Attached as Exhibit H is a proposed Foreign Air Carrier Permit for Star Air. 18. Approval of this Application would be fully consistent with the public interest. The proposed service will strengthen the economic ties between the U.S. and Denmark. Approval of Star Air's application would contribute greatly to the development of a positive aviation relationship between the two countries.

Star Air has not been involved, for the preceding five years, in any safety or tariff violations or any fatal accidents. 20. Star Air has executed a Warsaw Convention Liability Waiver (OST Form 4523). See Exhibit I. 21. Separately, Star Air will submit to the Department and to the National Transportation Safety Board an emergency assistance plan as required by the Aviation Disaster Family Assistance Act. 22. The verification required by 14 C.F.R (b) is attached as Exhibit J. WHEREFORE, for the foregoing reasons, Star Air respectfully requests that the Department grant its application for an exemption and a foreign air carrier permit so that Star Air may conduct charter foreign air transportation of property and mail from a point or points behind Denmark, via Denmark and intermediate points, to a point or points in the United States and beyond. Star Air further requests any different or additional relief that the Department may deem necessary.

Licence holder shall have his main activities and any head office/domicile in the legal sense in Denmark. The licence holder's main occupation shall be air transport in isolation or combined with any other commercial operation of aircraft or repair and maintenance of aircraft. Article 4. Licence holder shall at all times be owned by EU member states, Norway, Iceland or states which may from time to time have entered agreement with the Community on accession to Council Regulation (EEC) No. 2407/92 of 23 July 1992, and/or nationals in these states, either directly or by holding the majority of the ownership. The licence holder shall at all times be effectively controlled by such states or such nationals. Any undertaking which directly or indirectly participates in a controlling shareholding in the licence holder's company shall meet the same requirements. The licence holder shall at all times upon request from CAA Denmark be able to demonstrate that the requirements of paragraphs 1 and 2 hereof have been met. Article 5. Licence holder shall notify in advance the CAA Denmark any intended mergers or transfers and shall also notify the CAA Denmark within fourteen days of any change in the ownership of any single shareholding which represents 10% or more of the total shareholding of the air carrier or of its parent or ultimate holding company. Licence holder shall also notify the CAA Denmark of other changes in the legal situation of the undertaking. The CAA Denmark shall decide whether the operating licence shall be resubmitted for approval in case of change in one or more elements affecting the legal situation of the undertaking and, in particular, in the case of mergers or takeovers. Article 6. Establishment of common operation with other air carriers shall not take place without the approval of the CAA Denmark. Article 7. If the CM Denmark deems the changes notified under Articles 5-7 to have a significant bearing on the finances of the air carrier, it may require the submission of a revised business plan incorporating the changes in question and covering, at least, a period of 12 months from its date of implementation, as well as all the relevant information to assess whether the licence holder can meet its existing and potential obligations during that period of 12 months. Article 9. The CM Denmark may, at any time and in any event whenever there are clear indications that financial problems exist with the licence holder, assess its financial performance and may suspend or revoke the licence if the CAA Denmark is no longer satisfied that the licence holder can meet its actual and potential obligations for a 12-month period. Article 10, Licence holder shall provide to the CAA Denmark every financial year without undue delay the audited accounts relating to the previous financial year. At any time upon request of the CM Denmark, licence holder shall provide the information relevant for the purposes of Article 9. Article 11. Application for approval of traffic programs to areas outside the areas covered by Council Regulation No. 2408/92 shall be submitted to the CAA Denmark 30 days prior to the time of implementation. Traffic programs to areas covered by Council Regulation No. 2408/92 shall be notified to the CAA Denmark 30 days prior to the time of implementation. Article 12. Licence holder shall each year provide the CM Denmark with its air traffic statistics, including the number of passengers carried. Article 13. Air fares and conditions for Danish domestic traffic shall be notified to the Ministry of Transport, prior to the initiation of sale. When carrying out scheduled services outside the areas covered by Council Regulation No. 2408/92, including scheduled services to the Faeroe Islands and Greenland, passenger fares and relevant conditions shall be provided for the approval of the Ministry of Transport not later than 30 days prior to their time of implementation. Advertising and sale shall not commence until the approval by the Ministry of Transport is available.

On each aircraft used, an insurance policy shall be taken out, with a company approved by the CM Denmark, to insure against the liability as stipulated in the Air Navigation Act to cover claims for compensation for personal injury or damage to property outside the aircraft, cf. Section 130 of the Danish Air Navigation Act. Also a policy shall be taken out on each aircraft to insure against the liability for personal injury to passengers and damage to cargo, cf. Chapter 9 of the Danish Air Navigation Act. Documentation for insurance policies taken out shall be submitted to the CAA Denmark. Article 15. The granting and validity at any time of an operating licence shall be dependent upon the licence holder's possession of a valid Air Operators Certificate (AOC), issued by the CAA Denmark, specifying the activities covered by the operating licence. The activities shall be operated in accordance with the technical/operative stipulations in force from time to time (EEC regulations, the Air Navigation Act, ministerial orders and regulations and Regulations for Civil Aviation (the BL series)). The activities shall in their entirety be controlled by the inspection of the CAA Denmark. Licence holder shall comply with any orders from the CAA Denmark within the relevant time limit and it shall provide the CAA Denmark with any information it may wish. The supervising staff of the CAA Denmark shall have unimpeded access to the premises, aircraft, spare parts and tools, etc. and documentation of the licence holder. In connection with their performance of supervision, the staff of the CAA Denmark shall have free transportation by the aircraft used by the licence holder. Only aircraft stated in the AOC shall be permitted for use. The aircraft shall be registered in Denmark and be under the full right of disposal of the licence holder. Changes in the right of disposal shall immediately be notified to the CAA Denmark, Where licence holder wishes temporarily to use aircraft registered abroad (dry-lease) or to charter from another operator (wet-lease), this shall be approved in advance by the CAA Denmark. Article 16. The CAA Denmark reserves its right to make a renewed assessment of the licence holder one year from the issue of this present licence and every five years thereafter. Article 17. When licence holder has ceased operations for six months or has not started operations for six months after the granting of this present operating licence, the CAA Denmark shall decide whether the operating licence shall be resubmitted for approval.

Licenshaveren skal til enhver tid p& Statens Luftfartsvaasens anmodning kunne godtg0re, at kravene i stk. 1 og 2 er opfyldt. 5. Licenshaveren skal pa forhand underrette Statens Luftfartsvassen om patasnkte fusioner eller overdragelser og skal endvidere indert 14 dage efter stedfundet ejerskifte underrette Statens Luftfartsvaasen, nar der er tale om overdragelse af en enkelt aktiepost, der udg0r 10% eller derover af de samiede aktiebesiddelser i luftfartsselskabet eller i dets moderselskab eller endelige holdingselskab. Licenshaveren skal i 0vrigt underrette Statens Luftfartsvsesen om andre sendringer i foretagendets juridiske status, Statens Luftfartsvsesen bestemmer, om licensen skal foreleegges til fornyet godkendelse i tilfselde af eendringer i et eller flere forhold, der berarer foretagendets juridiske status, navnlig i tilfselde affusion eller overtagelse. 6. Etablering af faelles drift med andre luftfartsforetagender ms ikke ske uden Statens Luftfartsvaesens godkendelse. 7. Licenshaveren skal underrette Statens Luftfartsvaesen mindst 2 maneder forud for patsenkt ivasrkseettelse af asndringer i den af luftfartsvassenet godkendte forretningsplan eller i forhold, der indgar i denne, herunder planer vedrerende beflyvning af nye ruter eller ny chartertrafik til et kontinent eller en del af verden, som licenshaveren ikke tidligers har bef!0jet, samt betydelige asndringer i omfanget af sin virksomhed. 20.
