Forretningsområder Business areas SKIBSREDER SHIPOWNER ACTIVITIES BEFRAGTNING CHARTERING Rederiet køber skibe der efterfølgende sælges ud i kommanditselskaber. Det er målet at bevare en ejerandel på 30%. Rederiet har 2 nybygninger i ordre i 2010. Med købet af Ibex Maritime Ltd. i oktober 2007 har rederiet et solidt fundament indenfor befragtning af kemikalietankskibe. Selskabet driver 30 skibe i kommercielt mangement. The Company purchases vessels that are sold on in K-structures. The aim is to retain a 30% ownership. The Company has 2 newbuildings in order in 2010. The acquisition of Ibex Maritime Ltd. in October 2007 ensures the Company a solid basis in chartering of chemical tankers. The company operates 30 vessels in commercial management. Ca. 600 søfolk er på søen Approx. 600 seamen are onboard our vessels Afdelingen har 17 ansatte There are 17 employees in this department SHIPMANAGEMENT OPERATION OF VESSELS SKIBSDESIGN & KONSULENTYDELSER SHIPDESIGN & CONSULTING Rederiet har to afdelinger i Polen og en i København inden for teknisk management, som forestår bemanding, supply management, dokninger, ombygninger og rapportering for 13 af rederiets egne skibe samt 30 skibe for eksterne kunder. Rederiets afdeling for Shipdesign og Consulting har betydelig ekspertise inden for projektdesign, herunder nybygningstilsyn, inspektioner, dokninger og anden teknisk rådgivning. Der ydes p.t. nybygningstilsyn på 5 skibe egne såvel som eksterne. The Company has two managent departments in Poland and one in Copenhagen handling technical management, crewing, supply management, dockings, conversions and reporting for 13 of the Company s own vessels and 30 vessels for external clients. The Company s department for Shipdesign and Consulting has a considerable expert knowledge within project design, including newbuilding supervision, inspections, dockings and other types of technical consultancy. Presently, newbuilding supervision is performed on 5 vessels - the Company s own as well as external. Ledelsesberetning Management s review Forretningsområder Business areas Erria A/S s aktivitetsområder er shipping og shippingrelaterede aktiviteter på verdensplan. Det er selskabets mål at opnå stor ekspertise på nicheområder og herigennem at kunne opnå en gunstig markedsposition. Selskabet har hovedsageligt beskæftiget sig med shippingaktiviteter inden for segmenterne for kemikalietankskibe og containerfeederskibe. Erria A/S activities comprise of shipping and shipping related activities worldwide. It is the Company s objective to acquire extensive expertise in niche areas and through this to obtain a favorable market position. The Company has primarily been engaged in shipping activities within the segments for chemical tankers, and container feeder vessels. Selskabets overordnede strategi er at differentiere sig fra konkurrenterne, ved at tilbyde en meget bred vifte af Shipping Services i et tæt partnerskab med kunden. Samarbejdet med kunden vil ofte også omfatte finansielle partnerskaber i form af medejerskab af skibe. It is the overall strategy of the Company to differentiate from competitors by offering a wide range of Shipping Services in a close partnership with the customer. The cooperation with customers often includes financial partnerships that take the form of coownership of vessels. Selskabet leverer dermed et bredt sortiment af services, der hver især er hensigtsmæssigt standardiserede, og som i mange tilfælde kan udbydes i synergi med andre services eller partnere. As a consequence the Company can deliver a wide range of services, appropriately standardized and often offered in synergy with other services or partners. Rederiet kan internationalt tilbyde services fra kontorer i flere lande, hvor de lokale kompetencer og ressourcer udnyttes optimalt. Dette er for at sikre en dynamisk organisation indenfor skibsadministration og bemanding, skibsteknisk rådgivning og nybygningstilsyn, befragtning, skibsinvestering, indkøb og forsyning samt et internationalt service- og reparationsteam. Totalindkomst Erria A/S is a maritime one stop shop a shipping company. Internationally, the Company offers its services from offices in several countries with optimal use of local competencies and resources, thus ensuring a dynamic organization within administrative ship management and crew management, technical consultancy and newbuilding supervision, chartering, ship investment, purchase and procurement as well as an international service and repair team. Comprehensive Income Rederiet har fra 2007 valgt at præsentere dagsværdireguleringer i moderselskabet og valutaregulering af kapitalandele for koncernen separat i en totalindkomstopgørelse i tilknytning til resultatopgørelsen, jvf. anvendte regnskabspraksis. From 2007, the Company has decided to show fair value adjustments in the parent company and currency regulations of capital shares in the Group, separately in a Comprehensive Income statement together with the income statement, according to standard accounting policies. 10 ÅRSRAPPORT ANNUAL REPORT 2008

Koncern Koncernens totalindkomst blev -24.612 tdkk, imod 10.961 tdkk i 2007. Årets resultat blev på -33.235 tdkk imod 14.584 tdkk i 2007 og betragtes som utilfredsstillende. Koncernregnskabet for 2008 er påvirket af en ekstraordinær regnskabsmæssig nedskrivning på 16,1 mio. DKK over resultatopgørelsen i 2008, der relaterer sig til et kreditsalg af et ældre tabsgivende containerskib solgt for 6,3 mio. USD med en betydelig downpayment. Køber har indtil nu overholdt sine forpligtelser, men Erria A/S er opmærksom på, at skibet opererer i et fortsat turbulent marked indenfor genindvindingsmaterialer. På baggrund af disse problemstillinger samt usikkerheden for denne type skibe har Erria A/S skønnet, at der er risiko for en værdiforringelse af salgskontrakten. Årets resultat er negativt påvirket af kursregulering på 8.764 tdkk. Group Group Comprehensive Income amounted to tdkk -24,612 compared to tdkk 10,961 in 2007. The annual result amounted to a total of tdkk -33,235 compared to tdkk 14,584 in 2007 and is considered unsatisfactory. Group accounts for 2008 are influenced by extraordinary losses to the amount of tdkk 16,1 in connection with the sale of an old dry cargo vessel sold at a price of 6.3 mio. USD. The sale was concluded as a credit sale with a considerable down payment. In spite of this, for reasons of prudence and due to the great uncertainty in the recycling industry where the vessel is in operation, Erria A/S has viewed that there is a risk of impairment of the sales contract, even though the buyer has fulfilled the payments up until now. The annual result is negatively influenced by a currency regulation to the amount of tdkk 8,764. Koncernens egenkapital udgjorde ultimo 2008 287.267 tdkk mod 301.262 tdkk ved udgangen af 2007. Group equity amounted to tdkk 287,267 at year-end compared to tdkk 301,262 at the end of 2007. Rederiet beskæftigede ved regnskabsårets afslutning 66 medarbejdere på kontorerne i Danmark og i udlandet samt ca. 600 søfolk. Moderselskab Moderselskabets totalindkomst (årsresultat inkl. dagsværdireguleringer) blev -1.464 tdkk, imod 19.830 tdkk i 2007. Årets resultat betragtes som utilfredsstillende. Moderregnskabet for 2008 er påvirket af ekstraordinært tab i forbindelse med salg af et ældre tørlastskib med 16.135 tdkk. Salget er gennemført som kreditsalg med en betydelig downpayment. Bestyrelsen i ERRIA har af forsigtighedsgrunde og på grund af den store usikkerhed i markedet for genindvindingsindustrien, hvor skibet er beskæftiget, valgt at foretage denne ekstraordinære nedskrivning over resultatopgørelsen i 2008. Dette vil påvirke moderselskabet positivt i 2009 og i 2010, idet det samlede tab er afviklet i 2008. At year-end, the Company had 66 employees in the offices in Denmark and abroad as well as approx. 600 seamen. Parent Company The Comprehensive Income of the Parent Company amounted to tdkk -1,464 compared to tdkk 19,830 in 2007. The profit for the year is considered unsatisfactory. The Parent Company accounts for 2008 are influenced by extraordinary losses to the amount of tdkk 16,135 in connection with the sale of an old dry cargo vessel. The sale was concluded as a credit sale with a considerable down payment. In spite of this, for reasons of prudence and due to the great uncertainty in the recycling industry where the vessel is in operation, the Board of Directors in ERRIA has decided to make this extraordinary depreciation in the income statement for 2008. This will have a positive impact on the parent company in 2009 and 2010 as the total loss is now taken in 2008. Årets resultat er negativt påvirket af en kursregulering på 8.450 tdkk. Rederiet har gennem 2008 arbejdet målrettet med tilpasning af flåden, ved udskiftning af de ældre og mindre lønsomme skibe, herunder M/T Danchem East, M/T Danchem West, M/V Olga, M/V Limpopo og M/V Sea Master One, hvoraf de 3 sidstnævnte er containerskibe, der blev afhændet med tab. Resultatet af den primære drift blev 1.534 tdkk (3.144 tdkk). Egenkapital tilhørende moderselskabets aktionærer udgjorde ultimo 298.360 tdkk mod 305.140 tdkk ved udgangen af 2007. The annual result is negatively influenced by a currency regulation to the amount of tdkk 8,450. Throughout 2008, the Company has worked at streamlining the fleet, by replacing the old and less profitable vessels, including the M/T Danchem East, the M/V Olga, the M/V Limpopo and the M/V Sea Master One. The last-mentioned 3 ships are container vessels that were sold at a loss. Operating profit came to tdkk 1,534 (tdkk 3,144). Equity attributable to shareholders in the Parent Company was tdkk 298,360 at year-end compared to tdkk 305,140 at the end of 2007. 11

Ledelsesberetning Management s review Udbytte Som det fremgår af årsrapporten, foreslår bestyrelsen i år, at der ikke udbetales udbytte. Dividend As mentioned in the annual report, the Board suggests that no dividend is paid this year. Rederiets eventuelle udlodninger af udbytte vil hvert år blive fastsat på baggrund af koncernens økonomiske udvikling og finansielle stilling. Every year, the Company s possible payment of dividend will be determined based on the Group s economic development and its financial position. Regnskabskontrol af selskabets årsrapport for 2007 Fondsrådet har efter gennemført regnskabskontrol af årsrapporten for 2007 ved afgørelse af 9. marts 2009 påpeget nogle fejl som påbydes indarbejdet i årsrapporten for 2008. Påbuddene vedrører forhold ved indregning af kapitalandele i såvel moder- som koncernregnskab herunder opgørelse af opskrivningsreserve, klassifikation af skibe i koncernregnskabet samt præsentation af emissionsomkostninger. Selskabets ledelse har behandlet Fondsrådets afgørelse og indarbejdet påbuddene som anvist i nærværende årsrapport. Effekten af påbuddene i hhv. moder- og koncernregnskab for 2007 er en reduktion af totalindkomsten med 518 tdkk. Moderselskabets resultat reduceres med 2.819 tdkk, der modsvares af en positiv forøgelse af dagsværdiregulering af kapitalandele med 2.301 tdkk Koncernens resultat reduceres med 518 tdkk. Egenkapitalen er uændret pr. 31. december 2007 for både moderog koncernregnskab. Det er ledelsens vurdering, at de anførte ændringer ikke påvirker konklusionerne i årsrapporten for 2007. Påbuddene er beskrevet nærmere i note 23. Særlige begivenheder i 2008 Rederiet har i årets løb overtaget 3 nye skibe. Accounting control of the company s annual report for 2007 Following its accounting control of the annual report for 2007, the Danish Securities Council has in its ruling of March 9, 2009, pointed out a number of errors that they order must be incorporated in the annual report for 2008. The orders concern matters in relation to inclusion of investments in the accounts of the Group as well as of the Parent Company, including statement of appreciation reserve, classification of vessels in the Group accounts and presentation of issuing costs. The management of the Company has considered the ruling of the Danish Securities Council and has incorporated the orders as indicated, in this annual report. The effect of the orders on the accounts of the Group and of the Parent Company respectively for 2007 is a reduction of Comprehensive Income to the amount of tdkk 518. The result of the Parent Company is reduced by tdkk 2,819 which amount is counterbalanced by a positive increase of the fair value adjustment of investments to the amount of tdkk 2,301. The Group result was reduced by tdkk 518. The equity is unchanged per December 31, 2007 for the accounts of the Parent Company as well as of the Group. It is the opinion of the management that the modifications mentioned will not have any impact on the opinion of the annual report for 2007. The orders are described in more detail in note 23. Special events in 2008 Rederiet havde ultimo 2008 3 stk. kemikalietankskibe på 6.500 DWT i ordre fra værft i Kina til levering 2010. Rederiet har i 2008 overtaget driften af yderligere 4 slæbebåde og 5 pramme fra Vattenfall og Dong. Rederiet fører, via egne nybygningskontorer i Kina og Ghana, tilsyn med både egne og andre rederiers nybygninger på i alt 5 skibe. Rederiet har i samarbejde med Marchart, et lokalt selskab, etableret eget repræsentationskontor i Caracas i Venezuela for at styrke de kommercielle relationer i det olierige land. At the end of 2008, the Company had 3 chemical tankers of 6,500 DWT on order from Chinese shipyard to be delivered in 2010. In 2008 the Company took over operation of further 4 tug boats and 5 barges from Vattenfall and Dong. From its own newbuilding offices in China and Ghana the Company supervises its own as well as other shipping companies newbuildings a total of 5 vessels. The Company has established its own representative office in Caracas, Venezuela, in corporation with a local company, Marchard, with a view to strengthen commercial relations in this country rich in oil. Resultatet blev annullering af den ene af 3 nybygninger i ordre, uden tab. Rederiet får leveret de 2 nybyggede kemikalietankskibe i 2010. Due to the present uncertainty ruling in the market the Company has re-negotiated newbuilding contracts with the Rushan Shipyard in China resulting in the cancellation of one of the 3 newbuildings on order, at no loss. The 2 new chemical tankers will be delivered to the Company in 2010. Rederiet har indgået aftale om yderligere 9 kemikalietankskibe i kommercielt management. Befragtningen af skibene overtages, efterhånden som disse leveres fra værfter i Tyrkiet frem til udgangen af 2010. Udsigter for 2009 The Company has concluded agreements of further 9 chemical tankers in commercial management. The chartering of the vessels will take place when they are delivered from Turkish shipyards until the end of 2010. Outlook for 2009 Rederiet forventer en stigning på nettoomsætningen på 5-10 mio. DKK. Der forventes en vækst i Rederiets primære drift på 5-10 mio. DKK. Væksten skyldes de indgåede aftaler om yderligere skibe i kommercielt og teknisk management. The Company expects an increase of the revenue of DKK 5-10 million. The growth in the Company s operating profit is expected to be DKK 5-10 million. The growth is based on newly signed agreements covering commercial and technical management. 2009 bliver et vanskeligt år og Rederiet forventer derfor først positiv totalindkomst i 2010. Med den nuværende markedssituation forventes ikke avancer ved salg af skibe. Særlig usikkerhed knytter sig til udviklingen i container fragt raterne, USD-kurs og oliepris. For at styrke Rederiets fremadrettede likviditet, vil bestyrelsen på generalforsamlingen stille forslag om at udstede for minimum 20 mio. DKK. konvertible obligationer med tegningstilsagn fra de 3 største aktionærer og i tilslutning hertil indgå en langsigtet bankfinanseringsaftale. De nærmere betingelser vil fremgå af indkaldelsen til generalforsamlingen. Særlige risici Rederiet er eksponeret i forhold til raterne på både kemikalietankmarkedet og containermarkedet, om end sidstnævnte udgør en mindre del af koncernens forretningsområde. På begge markeder påvirkes efterspørgslen på skibe negativt også af ladningsejernes vanskeligheder ved at tilvejebringe betalingsgarantier fra bankerne. 2009 will be a difficult year and the Company does not expect a positive Comprehensive Income until 2010. Profitable sale of vessels under the present market condition cannot be expected. Particular uncertainty is related to the development in the rates on the container market, USD currency exchange rate and price on oil. To strengthen the Company s future liquidity, the Board of Directors will make a proposal at the general meeting to issue a minimum of DKK 20 million of convertible bonds with an undertaking to subscribe from the three major shareholders and in addition thereto enter into a long-term bank financing agreement. Detailed terms will appear from the notice convening regarding the annual general meeting. Particular risks The Company is exposed in relation to the rates in the chemical tankers market as well as in the container market, although the latter constitutes a minor part of the company s area of business. In both markets the demand for vessels is also negatively influenced by the cargo owners difficulties in obtaining payment guarantees from the banks. 13

Ledelsesberetning Management s review Indsejlingsniveauet på kemikalietankmarkedet er historisk set langt mindre volatilt end markedet for tørlastskibe. Ved en fortsat længerevarende finanskrise kan også markedet for kemikalietank blive påvirket. Historically, the earnings in the chemical tankers market are far less volatile than the market for dry cargo vessels. In case of a sustained financial crisis also the chemical tankers market may be influenced. Kapitalstruktur Rederiet arbejder til stadighed på at tilsikre at den nødvendige likviditet og soliditet er tilgængelig i selskabet. Egenkapitalandelen udgør 48% pr. 31. december 2008 (31. december 2007: 42%). Capital Structures The Company is continuously working on obtaining the necessary available cash and equity ratio. As per 31 December 2008 the equity ratio was 48% (42% as per 31 December 2007). Valutarisiko Valuta risici opstår som følge af koncernens internationale forretningsmæssige aktiviteter. Koncernen begrænser valutakursændringernes indflydelse på resultatet og den finansielle stilling, ved at indtægter, omkostninger, investeringer og lån så vidt muligt holdes i den samme valuta. Rederiet har indsejling i både EUR og USD. En oversigt over koncernens valuta nettoposition fremgår af noterne til regnskabet. Pr. 31. december 2008 var valutakursen følgende: USD 528,49 EUR 745,06 Renterisiko Størstedelen af koncernens låntagning sker til variabel rente. Ledelsen vurderer løbende om der skal indgås aftaler om renteswaps. En renteændring på 1 procentpoint på alle valutaer vil isoleret set påvirke koncernens årlige renteudgift med ca. 2,6 mio. DKK (4,8 mio. DKK i 2007) med den flåde af skibe som koncernen har på statustidspunktet. Currency risks Exchange risks occur as a consequence of the Group s international business operations. The Group limits its foreign exchange exposure by having revenue, costs, investments and loans in the same currency if at all possible. Company earnings are in EUR as well as in USD. An overview of the Group s net position in different currencies is specified in the notes. As per 31 December 2008 the rates of exchange were as follows: USD 528.49 EUR 745.06 Interest rate risk The major part of the Group s funding is obtained at variable interest rates. Management regularly evaluates the need for interest swaps. A change in interest rates of 1 percentage point on all currencies will seen in isolation impact the Group s annual interest expenses by approx. DKK 2.6 million (DKK 4.8 million in 2007) based on the number of vessels the Company owned at the end of the year. Koncernens renter og gæld er yderligere beskrevet i noterne til regnskabet. Likviditets risiko Koncernens likviditetsreserve består af kontoindeståender samt fast aftale om trækningsrettigheder i et større pengeinstitut. Liquidity risk The Group s liquidity reserves consist of bank deposits as well as agreed drawing rights with a leading bank. Den 31. december 2008 havde koncernen en uudnyttet trækningsret på 21 mio. DKK (55,3 mio. DKK i 2007). Koncernens rentebærende gæld var 261,4 mio. DKK pr. 31. december 2008 (352,1 mio. DKK i 2007) og gælden er således nedbragt med 90,7 mio. DKK i løbet af 2008. As per 31 December 2008, the Group had unused drawing rights of DKK 21 million (DKK 55.3 million in 2007). The Group s interest bearing debts were DKK 261.4 million as per 31 December 2008 (DKK 352.1 million in 2007) and the debt is thus reduced by DKK 90.7 million during 2008. Koncernens kortsigtede likviditet styres primært ved indgåelse af aftalekonti, hvor overskydende likviditet placeres. Kreditrisiko Det er ledelsens vurdering, at der ikke er væsentlige kreditrisici i balancen. Credit risk In the opinion of the management there are no material credit risks in the balance sheet. Andre risici Rederiet har et betydeligt og voksende engagement i Vietnam forankret i et medejerskab gennem koncernens aktiepost i Saigon Shipping J/S Company, hvor hovedaktionæren er kontrolleret af Peoples Committee. Politisk stabilitet og efter forholdene lempelige økonomiske rammevilkår for udenlandske investeringer er baggrunden for den vækst, der kendetegner Vietnams nuværende udvikling, og som der ikke er tegn på vil afsvækkes. Rederiet anser ikke engagementet i Vietnam for behæftet med væsentlige politiske risici og vil fortsætte med at udbygge det erhvervsmæssige fodfæste og forretningsmæssige forspring, som er opnået på rederi- og logistikområdet. Vidensressourcer Other Risks The Company has an important and growing engagement in Vietnam through a joint ownership in Saigon Shipping J/S Company, where the main shareholder is controlled by the Peoples Committee. Political stability and, relatively favorable financial conditions for foreign investments, are the reasons for the growth that is characteristic of the present development in Vietnam. A development for which there are no signs of weakening. The Company does not consider to be exposed to extraordinary political risks in connection with the engagement in Vietnam, and will continue to expand the business foundation and lead, which has been achieved in shipping and logistics.
